These Terms explain the rules for using TrustBase websites, forms, portals, and TrustBase Apply Copilot. Separate written contracts (MSA, SOW, offer letter, or NDA) control when they conflict with these Terms for a specific engagement.
These Terms of Service ("Terms") are a binding agreement between you and Trustbase LLC ("TrustBase," "we," "us," or "our") regarding access to and use of trustbase.llc and related websites, applications, forms, and online tools (the "Services").
By accessing or using the Services, submitting a form, creating an account, or clicking to accept these Terms, you agree to them. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.
If you have a signed master services agreement, statement of work, employment or contractor agreement, or other written contract with TrustBase, that contract governs the engagement it covers. These Terms still apply to general website and portal use unless the written contract says otherwise.
TrustBase is a U.S.-based software development and IT staffing company. Through our website and related channels we describe capabilities such as custom application development, staff augmentation, technical recruiting, UX design, AI solutions, and project support.
Online materials are informational. They are not a guarantee of availability, pricing, timelines, or outcomes until confirmed in a written proposal or contract. We may update service descriptions, case studies, and site content at any time.
You must be at least 18 years old (or the age of majority where you live) and capable of forming a binding contract to use account-based features. Portal accounts are issued to authorized individuals; you must provide accurate information and keep credentials confidential.
You may browse public pages for lawful purposes. Submitting a contact or career form authorizes us to respond using the details you provide. Marketing claims, testimonials, and illustrative case studies are examples or composites unless clearly identified otherwise; results vary by client context.
You may not scrape, harvest, or systematically extract site content for commercial reuse without our prior written permission, except for ordinary search-engine indexing of publicly available pages.
Software delivery, staffing, and consulting work are provided under separate commercial terms (typically an MSA and SOW or placement agreement). Those documents define scope, fees, IP ownership, warranties, SLAs, and termination rights for the engagement.
Until a written agreement is signed, discussions, demos, and estimates are non-binding. Any online portal used during an engagement is a tool to support delivery—it does not replace the signed contract.
If you apply for a role, share a résumé, or interview through TrustBase, you agree that information you provide is accurate to the best of your knowledge and may be shared with relevant TrustBase staff and prospective clients as part of the recruiting or staffing process.
TrustBase may provide portals for applications, interviews, scheduling, bidding, communications, reporting, or administration. Access is limited to users invited by TrustBase or a client organization. Features available to you depend on your role and permissions.
Organizations that invite users are responsible for authorizing the right people, configuring roles appropriately, and ensuring their internal policies are followed. TrustBase may monitor portal use for security, abuse prevention, and service quality.
Some portal features allow authorized users to connect third-party services so TrustBase can help with operational workflows. Connections are optional and controlled by your organization's administrators and your consent screens.
Where Google is offered, TrustBase uses Gmail and Google Calendar only (not Google Drive). Typical uses include interview inbox handling and calendar scheduling. You must only connect accounts you are authorized to use, and you must comply with Google's terms and your employer's policies. You may disconnect at any time in the product or via Google Account permissions.
You agree not to:
We may investigate violations and take action including suspension, content removal, or reporting to authorities.
The Services—including software, branding, logos, text, graphics, and documentation—are owned by Trustbase LLC or its licensors and protected by intellectual property laws. These Terms grant a limited, revocable, non-exclusive license to use the Services as offered, not ownership of TrustBase IP.
You retain rights to content you submit ("Your Content"), including form messages, résumés, and materials you upload. You grant TrustBase a worldwide, non-exclusive license to host, process, transmit, and display Your Content as needed to operate the Services and fulfill the purpose for which you provided it. You represent that you have the rights necessary to grant that license.
If you send ideas or suggestions, TrustBase may use them without obligation or compensation to you, unless a separate written agreement says otherwise.
Ownership of custom software or work product created under a client engagement is governed by the applicable MSA/SOW—not by these general website Terms.
Our handling of personal information is described in the Privacy Policy, which is incorporated by reference. You agree not to disclose non-public information you obtain through portals or discussions except as needed for legitimate business purposes or as required by law.
If you process candidate or employee data through the Services, you are responsible for complying with employment, privacy, and equal-opportunity laws applicable to your organization.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TRUSTBASE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that content will be accurate or complete. Third-party services (including Google and carriers) may change or become unavailable without notice. Website information does not constitute legal, financial, or professional advice.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUSTBASE LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION; ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TRUSTBASE FOR THE SPECIFIC ONLINE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the fullest extent permitted by law. Liability caps in a signed client contract control for that engagement.
You will defend, indemnify, and hold harmless TrustBase and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of Your Content, your misuse of the Services, your violation of these Terms, or your violation of law or third-party rights—except to the extent caused by TrustBase's willful misconduct.
You may stop using the Services at any time and, where applicable, disconnect third-party integrations. We may suspend or terminate access immediately if you violate these Terms, create security or legal risk, or if we discontinue a feature or product.
Provisions that by their nature should survive—including ownership, confidentiality, disclaimers, limitations of liability, indemnity, and governing law—will survive termination.
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. Except where prohibited by law, exclusive venue for disputes arising from these Terms lies in state or federal courts located in Texas, and you consent to personal jurisdiction there.
Before filing a formal claim related solely to website or portal use (and not covered by a separate dispute process in a signed contract), you agree to contact us at hr@trustbase.llc and attempt an informal resolution for at least thirty (30) days.
We may update these Terms from time to time. The effective or updated date at the top of this page will change when we do. If changes are material, we may provide additional notice. Continued use after the updated Terms take effect constitutes acceptance. If you do not agree, stop using the Services.
